Carve-out of Hengst SE & Co. KG’s operating business into Hengst SE

This company will operate as Hengst SE. In the course of this restructur-ing, the entire business operations of Hengst SE & Co. KG will be carved-out into Hengst SE. Technically speaking, a carve-out in accordance with Section 123 (3, No.1) German Transformation Act (UmwG) will be conducted.

Hengst SE & Co. KG will remain existent in order to exercise holding- and administrative functions in the prospective corporate structure. Your business relationship with the international subsidiaries of the Hengst Group is not affected by this change.

Your new German business partner will be Hengst SE as of December 1st, 2017.

The change in our corporate structure has direct impacts on the master data in your ERP system. For a summary of the new data please refer to the table below. Please consider the new data within the billing process or when issuing other official documents.

Additionally, the DUNS number of our site in Münster will change as of December 1st, 2017. Concerning this matter we kindly ask you to check all affected interfaces and inform within your company accordingly. All other Hengst sites will keep their known DUNS-numbers.

The tax identification numbers of Hengst SE are not yet available. We will inform you immediately by the time we have the numbers at hand.

We would like to explicitly mention that our bank details will not change. Our business accounts are trans- ferred to Hengst SE in the carve-out (universal succession). The change of our legal structure will be published in the commercial register. Such publications often cause fraud attempts. In case you are informed via e-mail, telephone, or by other means that our bank details will change, please get in touch with your contact person in our company immediately! Our valid bank details can be found in the footnote of your order confirmation or other business letters. We will never communicate an amendment of bank details via e-mail or telephone.

In case business letters and other documents addressed from you to us (dated as of and including Decem- ber 1st, 2017) do not relate to the Hengst SE and above mentioned master data, we regret to have to reject them in accordance with applicable law.

After the transfer of operations, contracts closed with Hengst SE & Co. KG remain valid and will be entirely executed by Hengst SE. A renewal of the contract is not necessary. Insofar as your contracts with Hengst SE & Co. KG are dependent on your approval regarding the transfer of contractual rights and obligations, we are hereby kindly requesting that you approve the transfer to Hengst SE and confirm this in written form to the attention of the signatories within 1 month after receipt of this notification.

We kindly ask you to immediately inform all affected interfaces and specialist departments, in particular your accounting and legal department, by forwarding this document. Please prepare your organisation for the upcoming restructuring by the effective date.
